End User License Agreement

This EULA governs your use of the Cirqle client applications — the mobile app, desktop client, and browser extension (the "Software"). The hosted Cirqle service is governed separately by our Terms of Service; your data is handled per our Privacy Policy and DPA; and your conduct is governed by our Acceptable Use Policy. By installing or using the Software, you agree to this EULA.

1. License Grant and Restrictions

Subject to your compliance with this EULA and the Terms of Service, Digital Foundry, LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on devices you own or control, solely for your internal business use during your active subscription or authorized access.

You will not copy, modify, or create derivative works of the Software except as permitted by an applicable open-source license; reverse engineer or decompile it except to the extent permitted by law; rent, lease, sell, sublicense, or distribute it to third parties as a service bureau; remove proprietary notices; circumvent security or usage-metering features; use the Software to build a competing product; or use it in violation of the Acceptable Use Policy or applicable law.

2. Ownership

The Software is licensed, not sold. Digital Foundry and its licensors retain all right, title, and interest in the Software, including all intellectual property rights and the "Cirqle" mark. No rights are granted other than those expressly stated here.

3. App-Store Terms (Apple / Google) — Pass-Through

If you obtain the Software from the Apple App Store or Google Play, that store's terms apply in addition to this EULA and govern your acquisition of the Software from that store. For the iOS app: this EULA is between you and Digital Foundry only, not Apple; the license is limited to use on Apple-branded devices you own or control; maintenance and support are provided by Digital Foundry, not Apple; and Apple and its subsidiaries are third-party beneficiaries of this EULA. For the Android app: your use is also subject to the Google Play Terms of Service. If the extension is distributed via a browser web store, your use is also subject to that store's terms.

4. Updates, Third-Party Components, and Device Permissions

The Software may automatically download and install updates, patches, and new versions to maintain security, compatibility, and functionality — you consent to such updates, and we may stop supporting older versions or platforms.

The Software may include third-party and open-source components licensed under their own terms. A full list of these components and their notices is available on request from legal@cirqle.cards. The Software connects to third-party services you choose to use (e.g., your CRM, LinkedIn capture) — your use of those is governed by their own terms.

The Software may request device permissions to provide features — camera (QR/business-card scanning), NFC (tap capture), microphone (voice notes), network access (sync), and notifications. You can manage permissions in your device settings, though disabling them may limit functionality. When you capture another person, you are responsible for having a lawful basis and any required notice/consent.

5. Your Responsibilities and Term

You are responsible for maintaining device security, complying with the Acceptable Use Policy and applicable law when capturing contacts, the accuracy of data you enter or capture, and reviewing AI-assisted outputs (e.g., structured fields from voice notes) before relying on them. This EULA is effective until terminated — it terminates automatically if you breach it, and ends when your right to use the Service ends. On termination you must stop using and uninstall the Software.

6. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-ASSISTED OUTPUTS WILL BE ACCURATE. DIGITAL FOUNDRY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SOFTWARE. Our total liability under this EULA is subject to the limitations in our Terms of Service. Nothing limits liability that cannot be limited by law.

7. Export, Sanctions, and Governing Law

You will comply with applicable export-control and sanctions laws and will not use or export the Software in violation of them. If you are a U.S. government end user, the Software is "commercial computer software" provided with only the rights granted to other end users under this EULA. This EULA is governed by the laws of the State of Delaware, consistent with our Terms of Service, except where mandatory local consumer-protection law applies.
